Affiliate Agreement

This agreement describes the terms and conditions for participation in the BeforeISleep^TM affiliate program. In this agreement, the term “Affiliate” refers to you (the applicant). In this agreement, “BeforeISleep^TM” refers to Ad-Impact management CC, a Close Corporation currently based in South Africa, with whom you are entering this agreement. By applying to the BeforeISleep^TM affiliate program you are confirming that you have read the agreement and agree to the terms and conditions.

Affiliate Programs

There is currently one type of Affiliate program with BeforeISleep^TM : one-time (recurring may be added in due course depending on the nature of our products).

Commissions

For a sale to generate a commission to an Affiliate, the customer must complete the order form and remit full payment for the product. Commissions will only be paid on sales that are made when the customer clicks through qualified, correctly structured Affiliate links. Properly coded links are the sole responsibility of the affiliate. Commissions can be viewed on the Affiliate Dashboard.

Where the Affiliate is on a one-time payment option, they will receive a commission for each new signup. Payments will be made once each month at the end of the month following which a sale took place. This is to allow for sufficient time to take place, in the event that a purchaser wishes to cancel a transaction. so, if a purchase took place in January, commission will be paid out at the end of February.

If the Affiliate is on a recurring payment schedule, they will continue to accumulate commissions for each paid transaction by the customer for as long as the customer remains a paying customer. For Affiliates participating in the recurring program, commissions will also accumulate for plan upgrades and adding users.

Commission Amount

Commission is only payable on sales involving the File of Life BeforeISleep^TM Portfolios, of which there are four products as well as the add-on product which involves the purchase of our service to collect and position a purchaser’s products into their portfolio – Single Portfolio (digital), Single Portfolio (digital, printed, filed and couriered but only with South Africa), Couples Portfolios (i.e. sale of two at a time), Family Portfolios (i.e. sale of 4 at a time).The current commission amount is 10%. Commission payouts exclude VAT amounts charged in sales.

Affiliates will be entitled to a further 3% commission based on sales made by a person the Affiliate has brought on board as an affiliate, one level down – so there is the Affiliate level at the top with a commission of 10% and one level down being an additional 5%. The same payment terms and conditions apply to the lower level.

Payment

Payments will generally be paid out via PayPal or internet transfer into the Affiliate’s bank account.

Refunds

In the event a customer requests a refund for a transaction for which the Affiliate has earned commissions, any commissions earned on the refund amount will be deducted from the Affiliate’s balance. Should there not be any balance, the Affiliate agrees to deposit such amounts into the bank account of Ad-Impact Management CC within 24 hours of being requested to do so. The Affiliate hereby agrees that in the event of a dispute, it will be put to arbitration, at the Affiliate’s cost.

Usage and Obligations

Affiliates are permitted to use the BeforeISleep^TM brand and marketing resources available in the Affiliates section of the BeforeISleep^TM application. Logos and other assets cannot be modified. The Affiliate does not gain any trademark, copyright or any other rights to these materials.

The Affiliate will never imply that they are acting on behalf of BeforeISleep^TM and will never advertise BeforeISleep^TM products directly. The Affiliate will never bid for advertisements that compete with BeforeISleep^TM.

The Affiliate will never represent themselves, BeforeISleep^TM or their relationship with BeforeISleep^TM in a false or misleading way.

The Affiliate will not engage in the distribution of an unsolicited bulk email (spam) mentioning or referencing B BeforeISleep^TM.

Term and Termination

Either party has the right to terminate the agreement immediately without prior notice.

If the Affiliate terminates the agreement (which is required in writing), no further commissions from BeforeISleep^TM will be paid for any past or future customer transactions.

If BeforeISleep^TM chooses to terminate the agreement, any balance greater than R150 USD will be paid to the affiliate within 60 days of termination. Balances that are smaller than R150 will be forfeited.

If the Affiliate is on a recurring program, BeforeISleep^TM will not be obligated for any future payments after termination.

Governing Law

This Agreement shall be governed, construed, and enforced in accordance with the laws of South Africa, without regard to its conflict of laws rules.

Arbitration

All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in South Africa. An award of arbitration may be confirmed in a court of competent jurisdiction.

Modification

We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not be limited to changes in the scope of available commissions, commission schedules, payment procedures and Affiliate Program rules. An email or sms will be sent to the Affiliate in the event of any significant change and the Affiliate also agrees to log into the Affiliate dashboard on the website (www.fileoflife.net) to remain in touch with any new developments.

Sales & Marketing Commitment

We will post helpful articles and suggestions for you to increase your sales including press releases and sales “blurbs” for you to make use of, in our Affiliate portal. In return, you agree to email us the content (and key words) you are using to market the File Of BeforeISleep^TM Portfolios and details of which platforms you are having good success with (Facebook | LinkedIn | Twitter | Instagram | Emails | Press Releases | Whatsapp Groups etc.). Research has indicated that it can take up to 8 communications before a person makes a purchase, so do not give up but avoid hounding people with floods of contact as this will annoy them. Use yourself as a guide as to the kind of content which would encourage you to make a purchase, as well as the nature and frequency of that communication. You agree that anything of this nature you kindly share with us, may in turn be shared with others to help their sales – after all, their input will serve to help you too!.

You agree that you take this affiliation seriously and will tell people about these products every week – even if it is in casual conversation to a neighbour, friend or colleague.

Remember – the Portfolios are a great investment and every home could benefit greatly if at least the bread winners have this tool to organise their assets. It is something everyone should invest in to make it easy for those left behind one day to wind up your estate.
